1. Agreement to Terms & Eligibility

By signing up for an account, powering on a Vendify card terminal, downloading our merchant software, or processing transactions through Vendify, you agree to be bound by these Terms of Service and all incorporated policies.

To register for an account and use Vendify services, you must be at least 18 years of age and legally authorized to enter into contracts on behalf of your business entity. You warrant that all registration details submitted are truthful, accurate, and current.

2. Account Registration & Security

You are solely responsible for maintaining the confidentiality of your account credentials, login tokens, and employee PINs. You agree to:

• Ensure that all team members and store managers assigned to your account adhere to these Terms.
• Immediately notify Vendify Support upon discovering any unauthorized login or terminal tampering.
• Promptly update payout bank information, registered business addresses, and authorized officer details.

Vendify is not liable for any loss or damage arising from your failure to safeguard your account passwords or secure physical POS hardware.

3. Vendify Platform & Software License

Subject to full compliance with these Terms and payment of applicable fees, Vendify grants you a limited, revocable, non-exclusive, non-transferable license to access our cloud software, merchant web portal, and terminal applications.

4. Payment Processing, Fees & Payouts

Vendify provides merchant payment facilitation in conjunction with certified acquiring banks and payment networks.

A. Fees & Billing

You agree to pay all applicable subscription fees and transaction processing rates specified in your merchant agreement or plan tier. Processing fees are automatically deducted from daily gross transaction volume prior to payout settlement.

B. Payout Schedule

Approved transaction funds are settled and transferred to your verified bank account according to standard payout schedules (typically within 1–2 business days). Vendify reserves the right to hold funds or establish temporary reserves in cases of high chargeback volume or suspected fraudulent activity.

C. Chargebacks & Disputes

You are entirely responsible for all customer chargebacks, transaction reversals, and related network assessment fees resulting from transactions processed through your merchant account.

5. Hardware & Terminal Warranty

Vendify point-of-sale card readers, stands, and mobile checkout devices purchased directly from Vendify include a one-year (12-month) limited warranty against manufacturing defects in materials and workmanship under normal commercial use.

The limited warranty does not cover damage caused by drops, liquid spills, unauthorized hardware modifications, third-party accessories, or power surges. Unopened hardware may be returned within thirty (30) days of delivery for a refund, subject to standard restocking fees.

6. Merchant Content & Intellectual Property

You retain all ownership rights in your product photographs, brand marks, catalog descriptions, and customer data uploaded to Vendify (“Merchant Content”).

You grant Vendify a worldwide, non-exclusive, royalty-free license to host, display, and process your Merchant Content solely for the purpose of operating, maintaining, and providing our commerce services to you and your shoppers. Vendify and its licensors retain exclusive ownership of all software code, designs, and trademarks.

7. Term, Suspension & Termination

These Terms remain in effect until terminated by either you or Vendify. You may close your merchant account at any time through the dashboard or by contacting Customer Care, provided all pending transactions and balances are settled.

Vendify may suspend or terminate your access immediately if you violate these Terms, fail to pay required fees, present an unacceptable risk of fraud or chargebacks, or if mandated by payment card networks or government authorities.

8. Disclaimers & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VENDIFY SERVICES AND HARDWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED OPERATION.

IN NO EVENT SHALL VENDIFY, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR REVENUE) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES. VENDIFY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO VENDIFY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

Any controversy, claim, or dispute arising out of these Terms shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA). Both you and Vendify waive any right to participate in class actions or representative proceedings.
